1. Acceptance of Terms

By accessing or using the StoreInvo platform, website, or any related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service. We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

2. Description of Service

StoreInvo provides a cloud-based point-of-sale (POS), invoice management, inventory, and business analytics platform designed for restaurants, supershops, electric stores, and retail businesses. The Service includes features such as:

POS and checkout management
Invoice generation and PDF export
Inventory and stock management
QR code generation for products, tables, and invoices
Customer and supplier management
Reports and analytics
Subscription-based access with multiple plans

3. Account Registration and Responsibility

To use certain features, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

We are not liable for any loss or damage from your failure to protect your account credentials.

4. Subscription, Payment Terms, and Billing

4.1 Subscription Plans

StoreInvo offers subscription plans (e.g., Starter, Professional, Enterprise) with monthly, yearly, or multi-year billing options. Pricing, features, and billing cycles are displayed at the time of subscription. We may offer trial periods; trials are limited to one per user/device and subject to admin approval.

4.2 Payment Processing

Payments are processed through trusted third-party payment providers:

Bangladesh: UddoktaPay and other local payment gateways
International: Stripe and other card processors

By subscribing, you agree to the payment processor's terms and authorize us to charge your selected payment method. All payment data (e.g., card details) is handled directly by the payment provider—we do not store full card numbers on our servers.

4.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the applicable fee at renewal. Price changes will be communicated in advance and apply at the next renewal.

4.4 Refunds and Cancellation

Subscription fees are generally non-refundable. We may, at our discretion, offer refunds for technical failures or billing errors. To cancel, do so before the next billing date to avoid further charges. Upon cancellation, you retain access until the end of your current paid period.

4.5 Taxes

All fees are quoted in the applicable currency (e.g., BDT, USD). You are responsible for any applicable taxes (VAT, sales tax, etc.) unless we are required by law to collect them.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Infringe intellectual property or privacy rights
Transmit malware, spam, or harmful code
Attempt unauthorized access to our systems or other accounts
Resell, sublicense, or redistribute the Service without permission
Engage in fraudulent or illegal business practices
Abuse trial or subscription systems (e.g., multiple trials, chargebacks without cause)

We may suspend or terminate accounts that violate these terms.

6. Intellectual Property

StoreInvo and its licensors retain all rights to the Service, including software, design, branding, and documentation. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. You retain ownership of your business data (e.g., products, orders, invoices) and grant us a license to process it to provide the Service.

7. Data and Backup

We implement reasonable measures to protect your data and perform backups. You are responsible for exporting and retaining copies of critical data. We are not liable for data loss beyond our control or due to your actions.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOREINVO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless StoreInvo, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access for breach of these Terms, non-payment, or at our discretion. You may terminate by cancelling your subscription. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., intellectual property, indemnification, limitation of liability) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which StoreInvo operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction. Where applicable, you may have additional consumer rights under local law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel your subscription.
